1. Introduction

"Protypo" is a structured, open system designed to enable individuals to transform ideas into real-world outcomes through collaboration, logical refinement, and execution-oriented thinking. The platform is currently operated by its founders, Vikas Shiga and Rishith Badikala, and is intended to be formally incorporated as a private legal entity in the future.


These "Terms & Conditions" define the legal and operational framework under which Protypo functions. By accessing, browsing, registering, or using the platform in any way, you acknowledge that you have read, understood, and agreed to be bound by these terms. This agreement governs your relationship with Protypo, your rights as a user, your responsibilities when interacting with ideas and other users, and the limitations of the platform itself. If you disagree with any part of these terms, you must immediately discontinue use of the platform. These terms are designed not only as legal protection but also as a system definition—ensuring that Protypo remains a reliable, scalable, and structured environment for intellectual collaboration.

2. Nature of the Platform

Protypo is not a traditional content-sharing platform, social network, or financial marketplace. It is a system of idea evolution, where ideas are treated as "structured entities" that can be refined, expanded, and potentially transformed into real-world outcomes.


The platform provides tools and infrastructure for:

  • Structuring ideas into logical frameworks

  • Connecting users based on skills and interests

  • Enabling collaboration and contribution

  • Tracking idea evolution over time

 

However, Protypo does not guarantee:

  • Execution of any idea

  • Commercial success

  • Funding or resource acquisition

  • Accuracy or feasibility of user-generated content

 

All activities on the platform are user-driven. Protypo does not act as a mediator, decision-maker, or enforcer in collaborations. It does not validate ideas or verify claims made by users.
Users must understand that Protypo is an enabling system, not a controlling authority. Responsibility for outcomes lies entirely with the users involved.

3. Eligibility

To use Protypo, users must meet the following requirements:

 

  • Be at least 13 years of age, or meet the minimum legal age required in their jurisdiction

  • Provide accurate, complete, and truthful information during registration

  • Maintain the confidentiality and security of their account credentials

 

Protypo allows open sign-up, meaning users can join without strict identity verification at the initial stage. However, the platform may use behavioral monitoring, activity analysis, and interaction patterns to assess authenticity and detect misuse.

Users are fully responsible for:

 

  • All actions performed under their account

  • Any content they upload or interact with

  • Ensuring their account is not misused


Protypo reserves the right to suspend, restrict, or terminate accounts if:

 

  • Suspicious activity is detected

  • Platform rules are violated

  • User behavior threatens platform integrity

4. User Roles

Protypo operates through a functional role system, where users naturally participate based on how they contribute.


"Thinkers"

Thinkers are users who originate ideas. They define problems, create conceptual frameworks, and initiate the idea lifecycle. Their role is to bring clarity and direction to abstract thinking.


"Solvers"


Solvers are users who contribute skills, logic, and execution capabilities. They transform ideas into structured systems and help bridge the gap between concept and implementation.


"Investors"


Investors are users who support ideas by enabling progress. This support may include resources, guidance, or strategic input, even though the platform itself does not handle financial transactions.


These roles are:

  • Flexible — users can switch or combine roles

  • Non-exclusive — one user can act in multiple roles

  • Non-authoritative — roles do not define ownership or control


Roles exist to structure interaction, not to assign power.

5. Idea Ownership & Intellectual Property

This section defines one of the most critical aspects of Protypo: how ideas are owned, shared, and evolved.

5.1 Original Ownership

When a user submits an idea on Protypo, they are recognized as the original owner of that idea. This ownership includes:

  • The right to define the idea

  • The right to control its visibility (public or private)

  • The right to decide how it evolves


Ownership begins as individual and controlled.

5.2 Contribution-Based Participation

Other users may contribute to an idea by:

  • Improving logic

  • Adding technical details

  • Suggesting execution steps

  • Expanding the idea scope

 

These contributions are recorded and attributed, but they do not automatically grant ownership.

5.3 Shared Ownership (Conditional)

Shared ownership may occur only when the original idea owner explicitly agrees.
This means:

  • Contributors do not gain ownership automatically

  • Ownership sharing is based on consent

  • The idea owner has authority to include contributors in ownership

 

This ensures:

  • Protection of original creators

  • Fair recognition of meaningful contributors

  • Flexibility in collaboration models

5.4 Ownership Evolution

Ideas on Protypo are not static—they "evolve"
As ideas grow:

  • More contributors may be involved

  • The structure of the idea may change

  • The value of contributions may increase

 

Ownership can evolve from:

  • Individual → Shared

  • Simple → Multi-contributor

But this evolution always depends on:

  • Mutual agreement

  • Contribution relevance

  • System transparency

5.5 Permission-Based Reuse

No idea can be reused, copied, or adapted without permission from the original owner.

This includes:

  1. Creating similar versions

  2. Using the idea outside the platform

  3. Building derivative work

Protypo supports openness—but not unauthorized replication.

5.6 Platform Usage License

By submitting content, users grant Protypo a non-exclusive, limited license to:

  • ​Display content

  • Store content

  • Process content

 

This license is strictly for platform functionality and does not transfer ownership.

5.7 Ownership Responsibility

Users are responsible for:

  • Defining ownership terms during collaboration

  • Communicating expectations clearly

  • Respecting others’ contributions

 

Protypo provides transparency—but not enforcement.

6. Idea Reuse & Adaptation

Protypo allows ideas to evolve, but under controlled conditions.


Users may:​

  • Explore ideas

  • Learn from them

  • Contribute with permission

 

Users may not:

  • Copy ideas without consent

  • Reproduce ideas externally without approval

  • Misrepresent others’ work as their own

This ensures a balance between:

 

  • Openness (learning & contribution)

  • Protection (ownership & control)

7. Collaboration & Agreements

Collaboration on Protypo is entirely user-driven and voluntary.


Users may:

  • Collaborate openly within the platform

  • Form private groups

  • Establish external agreements

 

Protypo does not:

  • Enforce agreements

  • Mediate disputes

  • Guarantee collaboration outcomes


Users are responsible for:

  • Defining roles

  • Setting expectations

  • Managing agreements

For serious collaborations, users are encouraged to create independent legal agreements outside the platform.

(Future Collaboration Framework​ Protypo may, in the future, introduce integrated, autonomous agreement systems designed to support serious collaborations within the platform. These systems will aim to provide structured, transparent, and legally aligned frameworks that define roles, contributions, ownership, and expectations between users. Such mechanisms are intended to enhance trust, reduce ambiguity, and enable more reliable and scalable collaboration while maintaining the platform’s open and evolving nature.)

8. Open System Structure

Protypo is built as an open system of creation, meaning:

  • Ideas can be explored by others

  • Knowledge flows across users

  • Collaboration is encouraged

 

However, the system also respects user control.


Users can choose:

  • Public ideas → open to all

  • Private ideas → restricted access

 

This hybrid model ensures:

  • Maximum openness for innovation

  • Maximum control for creators

The platform balances: Freedom to explore with ownership protection

9. Content & Conduct

Protypo is designed as a high-quality intellectual environment. All users are expected to maintain a standard of conduct that supports clarity, respect, and meaningful contribution.

By using the platform, you agree that all content you create, share, or interact with:

  • Is original or properly attributed

  • Does not violate any intellectual property rights

  • Is not misleading, harmful, or intentionally deceptive

  • Maintains a respectful and professional tone

 

Strictly Prohibited Activities

The following actions are not permitted under any circumstances:

  • Spam, repetitive, or inappropriate content

  • Plagiarism or unauthorized reproduction of ideas

  • Use of abusive, offensive, or inappropriate language

  • Misrepresentation of identity, intent, or contribution

  • Manipulation of the system for unfair advantage

 

Enforcement Actions

Protypo reserves the right to take strict action against violations, including:

  • Content removal without prior notice

  • Temporary or permanent account suspension

  • Restriction of platform access

These actions are taken to maintain the integrity, safety, and intellectual quality of the platform.

10. Platform Responsibility Disclaimer

Protypo provides a structured environment for idea development but does not assume responsibility for how ideas are used or what outcomes they produce.


By using the platform, you acknowledge that:

  • All ideas are user-generated and not verified by Protypo

  • The platform does not guarantee the accuracy, feasibility, or safety of any idea

  • Collaborations are voluntary and user-managed

 

​Protypo is not responsible for:

  • Misuse of ideas by other users

  • Failure or success of any project or concept

  • Disputes arising between users

  • Financial, professional, or personal losses

The platform acts solely as an enabling system, not a decision-making authority.

11. Payments & Subscriptions

Protypo may offer subscription-based services that provide enhanced access, features, or tools designed to improve user experience and idea development capabilities.


Key Points:

  • Subscription plans are optional and may evolve over time

  • Payments are related only to platform services—not user-to-user transactions

  • Protypo does not currently facilitate financial exchanges between users


Users engaging in financial discussions or agreements outside the platform do so at their own risk. Protypo does not monitor, regulate, or enforce such interactions.

Future monetization models may be introduced, and users will be notified of any significant changes.

12. Account Management

Protypo maintains full control over user accounts to ensure platform integrity, security, and proper functioning.

  • Account Authority

  • The platform reserves the right to:

  • Suspend or terminate accounts

  • Restrict access to features

  • Remove or limit user activity

 

This authority applies especially in cases of:

  • Policy violations

  • Harmful or suspicious behavior

  • Misuse of platform systems

 

Content Authority vs Ownership


While Protypo has full authority over accounts, it exercises limited authority over idea ownership, respecting the ownership model defined earlier.


However, content may still be removed if it violates platform rules or legal standards.

13. Data Usage & Visibility

Protypo collects and uses data to improve platform functionality, user experience, and system performance.
 

Data Usage Includes:​

  • Platform analytics

  • System optimization

  • User behavior insights

 

Content Visibility

  • Public ideas may be visible to all users

  • Private ideas remain restricted based on user settings

By using Protypo, you consent to the use of your data for platform improvement purposes. While reasonable security measures are implemented, no system can guarantee absolute protection.


Users are advised to exercise discretion when sharing sensitive information.

14. Modifications to Terms

Protypo is an evolving system, and these Terms & Conditions may be updated to reflect:

  • Platform growth

  • Feature changes

  • Legal requirements

  • Protypo is accessible worldwide

  • Users are responsible for complying with local laws applicable in their jurisdiction

 

In the event of disputes, legal proceedings shall be subject to Indian jurisdiction unless otherwise required by applicable law.

16. Future Legal Structure

Protypo is currently operated directly by its founders and is not yet registered as a formal legal entity. However, there are clear plans to transition into a registered private company in the future.
